This organization shall be known as Region II of the Alaska School Activities Association (ASAA).
ARTICLE II – MISSION
The mission of the Region shall be to promote and control interscholastic activities and other inter-school contests or programs sanctioned by the members, and to assist in the promotion of such other activities and interests as it may from time to time elect.
ARTICLE III – MEMBERSHIP
Section I – Eligible Schools and Conditions of Membership
A. All candidates for membership in Region II must be members in good standing of the Alaska School Activities Association (ASAA). After joining ASAA and being assigned to Region II any accredited or state approved secondary school may become a Region II member by paying annual dues to Region II and agreeing to abide by all rules and regulations of the ASAA State Constitution and By-laws of Region II.
B. Dues are payable to the Region II Secretary/Treasurer through the ASAA office and are due September 15. A school not paying its dues will be restricted from all post season play until dues and penalties ($25) are paid. Tournament director will verify payment of dues by checking Region II web-site.
C. Emerging Secondary Schools (ESS) which join as a group according to ASAA By-laws shall have full voting membership rights as one school.
Section II – District Placement
A. A request for change of district placement of schools shall be reviewed by the General Assembly at its spring meeting. Region II recommended changes of district placement of schools shall be forwarded to ASAA Board of Control for final decision.

ARTICLE IV – GENERAL ASSEMBLY – OFFICERS AND DUTIES
Section I – Membership
The General Assembly shall consist of one voting member from each school (Article III, Section I) with their dues current.
Section II – Selection to General Assembly
One representative from each member school shall serve as a voting participant at general assembly meetings.
Section III – Officers
A. The officers of the General Assembly shall be a president, vice-president and secretary/treasurer, and Region II representative to the State Board.
B. Elections and Terms of Office
1. All elections shall be by secret ballot or unanimous consent.
2. The president and vice-president shall be selected from the General Assembly and have voting privileges. The secretary/treasurer does not have to be from the general assembly however, if they aren’t part of the general assembly they would not have voting privileges.
3. The president shall be elected for a two (2) year term at the spring meeting every even numbered year and assume office immediately.
4. The vice-president shall be elected for a two (2) year term at the spring meeting every odd numbered year.
5. The secretary/treasurer shall be elected for a two (2) year term at the fall meeting every even numbered year. He/she shall take office at the spring meeting following his/her election.
6. The Representative to the State Board shall be elected to a two-year term at the fall meeting, every even numbered year. He/she shall take office December 31. The ASAA Representative shall not serve more than six consecutive years. (See State ASAA By-Laws)
Section IV – Powers and Duties General Assembly
A. The General Assembly shall constitute the legislative body of Region II.
B. It shall determine the time and place of its meetings. (Reference Article VI, Meetings)
C. It shall have general charge of Regional funds, shall review expenditures, and shall conform to the financial policies and regulations as set forth in the by-laws.
D. It shall have general supervision of all sanctioned Region II activities.
E. It shall have the power to make investigations relative to rules violations.
F. It shall rule on all protests and determine the penalties, not otherwise specified, for violations of the provisions of the by-laws.
G. It shall have the authority to appoint special and standing committees.
H. It shall determine suitable awards for winners of contests sponsored by the Region.
I. It shall have the authority to amend these by-laws as specified in Article VII – Amendments of By-laws.
J. It has the authority to sponsor and select sites and alternates for Regional activities.
Section V – Powers and Duties – Executive Board
A. The President, Vice-President, Secretary/Treasurer, and A.S.A.A. Board Representative shall constitute the Executive Board of Region II subject to the restraint of the ASAA Constitution and By-laws of the Region. The Executive Board of Region II has the authority to interpret the By-laws of Region II between General Assembly meetings and carry out the directions of the General Assembly.
B. The Executive Board shall have the power to call special meetings of the General Assembly.
Section VI – Powers and Duties – Officers
A. President
1. The President shall preside over all meetings of the General Assembly and Executive Board.
2. The President shall appoint standing and special committees to assist in carrying out policies and directions of the General Assembly.
3. The president may serve as an Ex-Officio member of all committees.
B. Vice President
1. The Vice-President shall assume the powers and duties of the president in the event of the president’s inability to serve.
2. The Vice-President may serve as an Ex-Officio member of all committees.
C. Secretary/Treasurer
1. The Secretary/Treasurer shall carry out the financial duties spelled out in these by-laws.
a. A record of all financial transactions shall be updated each official meeting.
b. The Secretary/Treasurer will generate invoices and send to all Region II schools for dues by June 15. Dues are payable by September 15 of each school year.
c. A record of all dues-paying members shall be maintained for up to three years. After the first September 15 following three years of non –payment, the member school is considered inactive and will not receive dues invoices or mailings until requested.
d. The regional account shall be maintained in the most cost-effective manner for the region.
e. The Secretary/Treasurer will seek the most cost-effective meeting location for each meeting.
f. The Secretary /Treasurer shall maintain the Region II website.
g. The Secretary/Treasurer shall receive a stipend of $4000.00 payable at the end of the school year. (adopted Fall 2021 meeting)
2. As requested, the Secretary/Treasurer will make available updated copies of the by-laws to all member schools at the fall meeting.
3. The Secretary/Treasurer shall carry out all other duties assigned by the General Assembly and these by-laws.
4. The Secretary/Treasurer shall provide two-week notice of meetings to all members via Region II website and by U.S. mail.
a. Minutes of the last meeting will be provided at each meeting and on the Region II website.
b. The Secretary/Treasurer will provide a proposed agenda to be presented at each meeting via the Region II web-site.
c. Yearly expenses of up to $200/year may be charged to the Region (with documentation) for postage, Xerox and phone bills for Region II business. The Region shall reimburse the school $200 annually (September 15).
d. Meeting expenses shall not exceed $75.00.
Section VII – Recall – Region II Officers and ASAA Board of Control Representative
A. Any Member of the Region II General Assembly may bring up a motion for recall of a Region II Officer or the Region II ASAA Board of Control Representative. A request for the recall of an officer of Region II must be mailed to the membership at least three (3) weeks prior to a Region II General Assembly meeting.
B. The recall motion, properly seconded must pass an affirmative vote (simple majority) with two-thirds of the Region II General Assembly members present.
C. In the event of a recall motion passing, nomination and election of a new officer or ASAA Board of Control Representative shall take place immediately.
D. The assembly member elected to fill the position shall only serve the time remaining in the term of office for the position vacated.

ARTICLE V – ASAA BOARD OF CONTROL REPRESENTATIVE
Section I – Election to the ASAA Board of Control
A. See Article IV Section III.
B. The ASAA Representative’s term of service is determined by ASAA. At present the Region II Representative serves a two (2) year term and is elected at the fall meeting of the General Assembly every odd year. A person may not serve more than three (3) consecutive full terms.
C. If the ASAA Representative is unable to attend a meeting or should fail to fulfill his/her term, an executive board member (designated by the executive board) shall attend that meeting and/or fill the position until the next regular meeting of the General Assembly. At that meeting an election shall take place to fill the remainder of the term.
D. The Executive Secretary of ASAA will be notified within ten days.
E. Duties:
1. Represents the best interests of the Region II and students statewide.
2. Reports all significant ASAA actions.
3. A written report regarding ASAA Board meetings, with information pertinent to Region II, will be made following each ASAA meeting. It shall be submitted to the Secretary/Treasurer for distribution to the General Assembly as soon as possible.

ARTICLE VI – MEETINGS
Section I – Regular Meetings
The General Assembly will hold regular meetings in the fall and in the spring of each year. These meetings shall be open to the public. The spring meeting date will be selected at the fall meeting and the fall date at the spring meeting.
Section II- Special Meetings
Any special meetings may be called by the Executive Board.
Section III- Quorum
A quorum consists of a simple majority of the membership.
Section IV- Agenda
The Secretary/Treasurer shall notify each member school of the time and place of the meeting. The agenda for each of the meetings shall be posted on the Region II web-site no less than two (2) weeks prior to the meeting date.
Section V- Submission of Agenda Items
Suggested agenda items should be submitted to the Secretary/Treasurer by members at least three (3) weeks prior to the meeting, by mail or email. Additional agenda items may be added, with the approval of the majority of the General Assembly, at the meeting.
Section VI – Discussion Limitations
All discussion during the meetings shall be restricted to the assembly members unless resource persons are called upon to speak by the chair.
Section VII- Motions
All motions made under old or new business, and must be submitted in writing, when so directed.
Section VIII- Publications of Minutes
Minutes of the meetings of the General Assembly will be posted on the Region II website, by the Secretary/Treasurer, within thirty (30) days following the meeting.

ARTICLE VII – AMENDMENT OF BY-LAWS
Section I – Amendments
A. Amendments to these by-laws shall be made by a majority affirmation vote of the General Assembly, provided the proposed amendment has been distributed to members not less than two (2) weeks prior to the meeting.
B. Amendments to these by-laws become effective August 1 following their adoption, unless otherwise set forth by the amendment.

ARTICLE VIII – FINANCE
Section I- Establishment of General Fund
The Secretary/Treasurer shall be authorized to maintain a general account titled “Region II Alaska School Activities Association Fund.” The fiscal year shall be July 1, through June 30, of the following year. At the discretion of the Secretary/Treasurer, a portion of these funds may be deposited in interest-bearing accounts. Note: Earnings do not accrue to Athletics, Music, etc., but become a part of the General Fund.
Section II- Accounting Procedures
The Secretary/Treasurer shall also be responsible for maintaining individual bookkeeping entries showing the monies earned, deposited, and dispersed.
Section III – Financial Reports
A. All books and accounts pertinent to Region II shall be completed and presented at the spring and fall meeting of the General Assembly.
B. All tournament and activity reports shall be submitted to the Secretary/Treasurer within 30 days of the completion of the activity.
Section IV- Disposition of Earned Interest
All income earned from the required interest bearing deposits shall accrue to the General Fund.
Section V– Semi-Annual Financial Report
A. The Secretary/Treasurer shall make a financial report in writing to the General Assembly at both the fall and spring General Assembly meetings as directed. This report shall include a complete review of the financial activities of the Secretary’s office, and will include full details relative to the General Fund Account and interest-bearing accounts.
B. The Executive Board shall audit the General Fund at the end of each fiscal year and report its findings at the fall General Assembly meeting.

B. Officially sanctioned Region II events will be those events approved for the Region II events calendar at biannual meetings.
